Your confirmation statement, checked and filed on time

Every UK limited company must confirm to Companies House, at least once a year, that the details held about it are correct. It is a small filing with a short deadline and a disproportionate penalty for forgetting it. We make sure it is right, and that it goes in when it should.

What the statement confirms

The confirmation statement is not your accounts and contains no financial figures. It is your annual confirmation that the public record for your company is accurate: the registered office and registered email address, the directors and company secretary, the shareholders and share capital, the people with significant control, and the SIC codes describing what the company does. Most changes are reported to Companies House through their own filings during the year; the statement is the moment you confirm that the record, taken as a whole, is right.

Why it goes wrong

The statement is due at least once every twelve months, and you have just fourteen days from the end of each review period to file it. Companies House sends reminders, but the responsibility sits with the directors, and a fortnight is short enough that a busy month quietly turns a routine filing into an overdue one. Failing to file is an offence, and a company that persistently fails to file can be struck off the register, with its assets passing to the Crown. That is a great deal of consequence for a filing that takes us a few minutes when the records are kept properly.

The identity verification connection

Companies House identity verification is being phased in alongside confirmation statements. Existing directors and people with significant control are brought into the verification regime as their company files its next statement, so for many companies the statement deadline is effectively the verification deadline too. Confirmation statement questions

Is the confirmation statement the same as my annual accounts?

No. They are separate filings with separate deadlines, and filing one does not excuse the other. The accounts report your financial position; the confirmation statement confirms the non-financial details on the public register. Every year, companies discover the difference the hard way in both directions.

Do I need to file one if nothing has changed?

Yes. The statement is required at least once every twelve months even where nothing has changed, and even for a dormant company. If nothing has changed, the filing is quick; it still has to be made.

What if some of the details are wrong or out of date?

Some updates, such as SIC codes and shareholder information, can be made as part of the statement. Others, including changes of director, registered office or share capital, must be reported through their own filings, and we deal with those first so the statement confirms a record that is actually correct.

Is this included if YVB already does my accounts?
